1 INTRODUCTION
1.1 This page (together with the documents referred to on it) tells you the terms of use (“Terms of Use”) on which you may make use of our website www.cityscapeconnect.com (“site”) and the content on this site, whether as a registered or non-registered user. Please read these Terms of Use carefully before you start to use the site. By using our site, you indicate that you accept these Terms of Use and that you agree to abide by them. If you do not agree to these Terms of Use, please refrain from using our site.
1.2 We may amend these Terms of Use at any time and such amended version shall be effective upon its posting on the site. Therefore you should check this site from time to time to review the current Terms of Use.
2 INFORMATION ABOUT US
2.1 Our site is operated by IIR Holdings Limited trading as IIR Middle East, part of the Informa Group ("we", “our”, “us”). We are registered under the laws of Dubai and have our business address at 3rd Floor, Sultan Centre, P.O. Box 21743, Dubai, United Arab Emirates.
3 ACCESSING OUR SITE
3.1 Use of our site is restricted to those aged 18 or over only. You may not access the site if you have held an account which has been previously terminated or suspended.
3.2 The purpose of our site is to facilitate networking amongst those individuals working in the real estate industry (“Purpose”). Our site provides users with real estate related material including without limitation, news, features, research reports and video (“Cityscape Content”) and may include various discussion forums where registered users can access and post observations and comments and upload material on various topics posted for discussion by us or other registered users. Content posted by a user in these forums and/or profile details submitted by a registered user shall be known as (“User Content”) and together the Cityscape Content and User Content shall be known as the (“Materials”).
3.3 Whilst we endeavour to ensure that the site is normally available 24 hours a day, access to our site is on a temporary basis, and we reserve the right to withdraw or amend the service we provide on our site without notice. We will not be liable if for any reason our site is unavailable at any time or for any period.
3.4 We aim to update our site regularly, and may from time to time modify the services on the site, change the Cityscape Content and/or restrict access to any of the Materials. If the need arises, we may suspend access to our site, or close it indefinitely. The Cityscape Content may be out of date at any given time, and while we may from time to time update the Cityscape Content we are under no obligation to do so.
3.5 You are responsible for making all arrangements necessary for you to have access to our site and the Materials, including the arrangement and acquisition of software, hardware and any necessary internet connection and telecommunications equipment.
4 REGISTRATION AND YOUR PROFILE
4.1 Being a registered user enables you to participate in online discussions by posting observations, comments and uploading material on various discussion topics (“contribution”). In addition you will be able to view the profile details of other participants in the discussion forum (save to the extent that such participant has restricted access to its profile details in accordance with clause 5.4).
4.2 You can apply to become a registered user here www.cityscapeconnect.com. We reserve the right to refuse any application to become a registered user. If we accept your application we will ask you to provide a user name and password or any other piece of information which you will need as part of our security procedures to access certain parts of the site. You must treat this information as confidential, and you must not disclose it to any third party. You must inform the Cityscape Connect team through the Contact Us section on this site if you have any reason to believe that any of your passwords have become known to someone who is not authorised to use them. If we reasonably believe that there is likely to be a breach of security or misuse of the site or your account we may change your password immediately and will notify you accordingly. Please note we have no obligation to verify the identity of a registered user when they register or are connected to the site and that you are responsible for all electronic communications and content sent from your computer to us until you notify us of a breach of security or prove that your account security was compromised due to a fault in our systems. We have the right to disable any user name and/or password, at any time, if in our opinion you have failed to comply with any of the provisions of these Terms of Use.
4.3 When registering we ask you to provide us with multiple details that will define your profile on Cityscape Connect (your “profile”). You may at any time and at your option edit or add further details to your profile which may enable you to network in a more effective manner. You represent and warrant that all profile information supplied by you is accurate and complete.
5 SUBMISSION OF CONTRIBUTIONS TO DISCUSSION FORUMS AND OTHER TERMS APPLICABLE TO USER CONTENT
5.1 To submit a contribution, please signup and register. Upon verification of your email address and completion of the registration process you can participate by visiting the Discussion Topics page, selecting an individual discussion topic and enter your comment in the box provided on the right hand side of the screen and then click submit. There is no limit to the length of a contribution and you may also embed a YouTube video or add one of either a DOC, XLS, PPT, PDF, JPG or GIF.
5.2 If you would like to start a new thread for discussion, please visit the Discussion Topics page and select the “create discussion” button.
5.3 Non registered users may view any contributions, but they may not add a contribution. The contribution will be published along with the name, job title and company name of the individual who made the contribution (and image of the contributor unless withheld by the contributor) (“Author Contribution Details”). If the contributor is an expert, then an expert badge will also be displayed.
5.4 Where you submit a contribution, other registered users may view all of your profile save for those details which you have restricted access to. You may expressly restrict access to any of your profile details other than your Author Contribution Details (as defined below).
5.5 You warrant and represent that any contribution that you submit shall comply with the Content Standards (as set out below). Where a registered user is of the opinion that any contribution breaches the Content Standards it may flag this by emailing us at support@cityscapeconnect.com. Where we receive three flags in respect of User Content, we shall remove as soon as practicable the relevant contribution if we concur.
5.6 Furthermore if we in our sole opinion consider that a breach of the Content Standards has occurred, we may at our discretion take such action as we deem appropriate. Failure to comply with these standards constitutes a material breach of the Terms of Use, and may result in our taking all or any of the following actions:
• Immediate, temporary or permanent withdrawal of your right to use the site.
• Immediate, temporary or permanent removal of any contribution already posted on the site.
• Issue of a warning to you.
• Legal proceedings against you for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach.
• Further legal action against you.
• Disclosure of such information to law enforcement authorities as we reasonably feel is necessary or as required by law.
We exclude our liability for all action we may take in response to breaches of the Content Standards.. The actions described above are not limited, and we may take any other action we reasonably deem appropriate.
5.7 We are not responsible for any user’s use of the content that they may access through the site.
5.8 We exercise no control in relation to the submission of User Content and save as set out in clauses 5.4 and 5.5 have no responsibility to supervise the provision of or monitor the contributions displayed on our site. The views expressed in any contributions are not our views and any User Content is viewed and used by you at your own risk and we do not warrant, in any respect, the accuracy or reliability of any of the User Content.
5.9 By submitting any User Content you grant to us a royalty free, non-exclusive worldwide, perpetual, transferable licence to Use the User Content (including any intellectual property rights contained therein). Use shall mean the right to use, edit, alter, adapt, create derivative works from, perform, play, reproduce, publish and/or distribute and these rights may be sub-licensed. You also agree to waive all moral rights in relation to the User Content you submit. Where you are unwilling or unable to grant the above licence in relation to content please do not submit the relevant content. Our use of the User Content shall be in accordance with the provisions of clause 12.
5.10 You represent and warrant that you have the right to grant the licence set out in clause 5.9 and .you also warrant that you will take such steps as necessary to give effect to the licence granted in accordance with clause 5.9. We have the right to disclose your identity to any third party who claims that material posted or uploaded by you on our site infringes their proprietary rights.
5.11 We have no obligation to store, maintain or provide you with a copy of any User Content.
6 INDEMNITY
6.1 You shall indemnify us on demand from and against any and all losses, claims, damages, costs, expenses (including without limitation legal fees) and liabilities which we may sustain or incur (whether directly or indirectly), as a result of your breach of these Terms of Use, your submission of any content on our site and/or any activity which you carry out through or via our site.
7 INTELLECTUAL PROPERTY RIGHTS AND LICENCE TO USE
7.1 For the purposes of these Terms of Use, “intellectual property” means patents, inventions, know how, trade secrets and other confidential information, registered designs, copyrights, database rights, design rights, rights affording equivalent protection to copyright, database rights and design rights, semiconductor topography rights, trade marks, service marks, logos, domain names, business names, trade names, moral rights, and all registrations or applications to register any of the aforesaid items, rights in the nature of any of the aforesaid items in any country or jurisdiction, rights in the nature of unfair competition rights and rights to sue for passing off.
7.2 We are the owner or the licensee of all intellectual property rights in our site and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.
7.3 Subject to your compliance with these Terms of Use, we grant (i) all registered users a non-exclusive non-transferable licence to access through a generally available web browser (but not through any scraping, spidering, crawling or any other technology designed to harvest data) to view and use for the Purpose the Cityscape Content and all User Content (save for the profile data restricted in accordance with clause 5.4) and(ii) all non-registered users a non-exclusive non-transferable licence to access through a generally available web browser (but not through any scraping, spidering, crawling or any other technology designed to harvest data), to view and use for the Purpose the Cityscape Content and all Author Contribution Details.
7.4 You may print off one copy, and may download extracts, of any page(s) from our site for your personal reference.
7.5 You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.
7.6 Our status (and that of any identified contributors) as the authors of Cityscape Content must always be acknowledged.
7.7 You must not use any part of the materials on our site for commercial purposes without obtaining a licence to do so from us or our licensors. This provision is not intended to prevent a registered user from contacting other registered users to further professional working relationships.
7.8 If you print off, copy or download any part of our site in breach of these Terms of Use, your right to use our site will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.
8 VIRUSES, HACKING AND OTHER OFFENCES
8.1 You must not misuse our site by knowingly introducing viruses, Trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to our site or any part of it, the server on which our site is stored or any server, computer or database connected to our site. You must not attack our site via a denial-of-service attack or a distributed denial-service-attack. In the event of such a breach, your right to use our site will cease immediately.
8.2 We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our site or due to your downloading of any material posted on it, or any website linked to it.
9 LINKING TO OUR SITE
9.1 You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists and you must not establish a link from any website that is not owned by you.
9.2 Our site must not be framed on any other website, nor may you create a link to any part of our site other than the home page or specific discussions. We reserve the right to withdraw linking permission without notice.
10 LINKS FROM OUR SITE
10.1 Where our site contains links to other sites and resources provided by third parties, these links are for your information only. We have no control over the contents of these sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them.
11 LIABILITY
11.1 The site and material displayed on our site is provided on an as is basis and without any guarantees, conditions or warranties as to its accuracy.
11.2 Nothing in these Terms of Use excludes or limits liability which cannot be excluded or limited by law.
11.3 Subject to clause 11.2, any indemnities, warranties, terms and conditions (whether express or implied) are hereby excluded to the fullest extent permitted by law.
11.4 Subject to clause 11.2, we will not be liable, in contract, tort (including, without limitation, negligence), pre-contract or other representations (other than fraudulent on negligent misrepresentations) or otherwise out of or in connection with these Terms of Use for any: (i) direct, indirect or consequential loss or damage incurred by you in connection with our site or in connection with the use, inability to use, or results of the use of our site, any websites linked to it and any materials posted on it; or (ii) economic losses (including without limitation loss of revenues, data, profits, contracts, business or anticipated savings); or (iii) loss of goodwill or reputation; or (iv) special or indirect losses; or (iv) any other loss or damage of any kind, however arising and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable suffered or incurred by you arising out of or in connection with these Terms of Use.
12 PRIVACY AND USE OF YOUR INFORMATION
12.1 We process information about you in accordance with our privacy policy. By using our site, you consent to such processing and you warrant that all data provided by you is accurate. You should also be aware that in addition to any profile details that you provide to us any content which you choose to upload to our site on any discussion may contain data which reveals sensitive personal data such as your political opinions, ethnic origin and religion. By providing this content you are giving your informed consent to the processing by us of such sensitive data.

14 MISCELLANEOUS
14.1 Severability. If any of these Terms of Use or any provisions of a contract are determined by any competent authority to be invalid, unlawful or unenforceable to any extent, such term, condition or provision will to that extent be severed from the remaining terms, conditions and provisions which will continue to be valid to the fullest extent permitted by law.
14.2 Notices. All notices given by you to us must be given to us at support@cityscapeconnect.com. We may give notice to you at either the e-mail or postal address you provide to us when registering. Notice will be deemed received and properly served immediately when posted on our website, 24 hours after an email is sent or three days after the posting of a letter. In proving the service of any notice, it will be sufficient to prove in the case of a letter that such letter was properly addressed, stamped and placed in the post and, in the case of an email that such email was sent to the specified email address of the addressee.
14.3 Assignment. You may not transfer, assign or sub-licence any of your rights and obligations arising hereunder, without our prior written consent. We may transfer or assign any of our rights or obligations arising hereunder.
14.4 Entire Agreement. These Terms of Use and any document expressly referred to in them represent the entire agreement between us in relation to the use of our site and supersede any prior agreement relating to such matters. Each party acknowledges and agrees that in entering into this contract that, save in relation to fraudulent misrepresentations, it does not rely on and shall have no remedy in respect of any statement, representation or understanding.
14.4 Waivers If we fail, at any time, to insist upon strict performance of any of your obligations under any of these Terms of Use, or if we fail to exercise any of the rights or remedies to which we are entitled under these Terms of Use, this shall not constitute a waiver of such rights or remedies and shall not relieve you from compliance with such obligations. A waiver by us of any default shall not constitute a waiver of any subsequent default and no waiver by us of any of these Terms shall be effective unless it is expressly stated to be a waiver and is communicated to you in writing in accordance with clause 14.2.
14.6 Governing Law. These Terms of Use shall be governed by and construed in all respects in accordance with the laws of the Emirate of Dubai and such Federal Laws of the UAE as shall have effect in the Emirate of Dubai and the Courts of Dubai shall have exclusive jurisdiction over all disputes that arise out of or in connection with them.
